Terms and conditions of IKEA Business Network and IKEA for Business profiles

Hej and welcome to IKEA Business!

These terms and conditions apply to both IKEA Business Network and IKEA for Business profiles (“Profile”). Having a Profile gives you access to various services that support your business, such as your purchase history and a communications section, where you can find, for example, the latest news, trends and inspiration for your business.

1.     Legally required information

These Terms and Conditions form a legally binding contract between the entity registering the Profile (“Company”) and IKEA Oy (“IKEA”, “we” or inflections thereof). These Terms and Conditions govern the use of the Company’s Profile. IKEA reserves the right to revise these Terms and Conditions at any time, such as if there is a change in the applicable laws or the services and features offered by IKEA or when we introduce new services. Any such changes take effect fourteen (14) business days after the date on which we publish the updated version of the Terms and Conditions. If the Company does not accept the changes, it has the right to delete its Profile. Any use of the Profile after the new Terms and Conditions have been communicated to the Company is deemed as the Company’s acceptance of the new Terms and Conditions.

2.    Profile

The Profile gives business customers a way to purchase products and services for business purposes and to access and use a number of features and services designed for business customers. IKEA Business Network and IKEA for Business profiles are primarily intended for microbusinesses and small businesses.

For the Company’s purchases to be linked to the Profile, the Company must identify itself during the check-out process. Identification is done by logging into the Profile when placing orders online and by scanning the IKEA Business Network or IKEA for Business card at the check-out when shopping in store. It is important to remember this because purchases unfortunately cannot be registered retroactively for technical reasons.

It is the Company’s responsibility to create the Profile using accurate, up-to-date and complete information. The Company’s name, address, VAT code and email address must be entered to create the Profile. The Company agrees to keep IKEA informed regarding any changes in the information. You can also identify your nearest IKEA store so that we can send you information about local events or other news relating to your chosen store.

By registering the Profile, the Company confirms that the person doing the registration is authorised to enter the Company into legal contracts and that the Company is eligible to register the Profile. The Company also confirms that it has all the requisite rights, competence and authority to enter into and perform its obligations under these Terms and Conditions.

The Profile cannot be assigned to another entity. Only the Company can use the Profile, and the Profile can only be used for the purposes of the Company’s own business. The Company acknowledges that the Profile cannot, under any circumstances, be used to resell IKEA products or services to third parties.

3.    Profile management

The Company can add multiple users to its Profile, including several users with administrative privileges. The person who creates the Profile for the Company is automatically designated as an administrator. The Company must always have at least one user with administrative privileges. Administrators can (i) invite other employees of the Company to become users and administrators of the Profile; (ii) delete individual users; (iii) delete or change the settings for the Profile (such as edit preferences, upgrade to or downgrade from the IKEA Business Network); and (iv) see the Company’s full purchase history, including the names of individuals who have placed orders. Regular users can only see their own activity in the Profile.

Every user will receive a number for the Company’s IKEA Business Network or IKEA for Business card (“Card”) according to the type of Profile created. The Card is used to identify the Company as an IKEA Business Network or IKEA for Business customer. The Card cannot be assigned to another person, and only the person with whose Profile the Card is associated can use it. The Card is not a debit card, a credit card or a guarantee card.

It is the administrator’s responsibility to ensure that all users of the Profile are employees of the Company or otherwise authorised to act on the Company’s behalf.

IKEA is required to store and process certain personal information about individual users of the Profile. The Company agrees to communicate the contents of the IKEA Oy Privacy Policy to these individuals.

4.    Acceptable use

The Company may only use the Profile for business-related, commercial and authorised purposes, such as to make purchases, use planning tools and/or communicate with IKEA. The Company and users of its Profile must not misuse or tamper with the features and services that they can access through the Profile (by, for example, hacking, introducing viruses, Trojans, worms or logic bombs, or carrying out denial-of-service attacks or any other technologically harmful practice) or otherwise interfere with our systems or functionalities.

The Company is responsible for all actions performed through the Profile. It is the responsibility of the Company to ensure that its users do not share their personal passwords with anyone else. If the Company has reason to believe that an unauthorised individual has got hold of a password and/or been able to access the Profile, it must immediately contact IKEA Customer Support and change all compromised passwords. It is the responsibility of the Company to ensure that users always log out of the Profile at the end of a session. IKEA cannot be held responsible for any losses incurred as a result of the Company’s failure to comply with these Terms and Conditions.

5.    Copyrights, trademarks and patents

All title, ownership and intellectual property rights to the Profile, the IKEA.fi website and the IKEA brand remain property of IKEA or the franchisor, Inter IKEA Systems B.V. The use of the Profile does not give the Company the right to use or reproduce any copyrighted materials, trademarks, service marks, patents or other proprietary rights or materials. The Company also agrees not to use its relationship with IKEA for any marketing or financing purposes or as a reference in any company presentations or press releases, or in any way exploit (online or otherwise in its external communications) any trade name, trademark, service mark, logo or other distinctive brand feature of IKEA, INGKA Group or Inter IKEA Group.

6.    Stopping and suspending the use of the Profile

The Company can stop using the Profile at any time by deleting the Profile. If the Company stops using the Profile, it can no longer take advantage of the benefits of the Profile.

IKEA reserves the right to temporarily or permanently block the Company’s use of the Profile by notifying the Company’s Profile administrator(s) if any of the following occurs: (a) we notice, or have reason to believe, that the Company’s use of the Profile violates these Terms and Conditions; (b) IKEA has reason to suspect that fraudulent activity has taken place; (c) the Profile is being used in some other way that is not acceptable to IKEA; or (d) the Company has not used the Profile for more than 36 months. Not using the Profile means that the Company has not logged into the Profile or opened any IKEA Business emails. We also reserve the right to remove or edit content, to modify, suspend or discontinue the availability of any features or services, and to charge, or stop charging, a fee for any services.

Sections 5, 6, 7, 8 and 9 apply even after the revocation or expiration of these Terms and Conditions.

7.    Indemnification

The Company agrees to defend, indemnify and hold IKEA harmless from and against all liabilities, damages, losses and expenses of any kind (including reasonable legal fees and costs) relating to, arising out of or in any way connected with any of the following (“Claim”): (a) the Company’s access to or use of the Profile, including any associated information; (b) a breach or alleged breach of these Terms and Conditions or applicable laws by the Company; and (c) any misrepresentation made by the Company.

8.    Limitation of liability

To the extent permitted by the applicable laws, IKEA cannot be held liable for any losses incurred by the Company, including but not limited to any indirect, extraordinary or consequential losses arising out of the use or inability to use the Profile, even where we have been advised of the possibility of such losses, or for any claim by any other party. IKEA cannot guarantee that products or services purchased by the Company from IKEA are suitable, appropriate or legal to use in the context of the Company’s business.

9.    Governing law and disputes

These Terms and Conditions are subject to the laws of Finland, without regard to any rules or principles of conflicts of law. Any disputes, claims or disagreements relating to these Terms and Conditions are to be settled by applicable Finnish courts of law.

IKEA Business Network

If the Company is a member of the IKEA Business Network (“Network”), the following terms and conditions apply in addition to the above.

10.    Network benefits

The benefits and offers may change over time, and IKEA reserves the right to add or remove benefits and services as it sees fit. Some benefits and services are one-time offers, and any attempt to circumvent this will be considered a breach of these Terms and Conditions and may lead to termination of such benefits and services.

IKEA Business Network profile page

As a member of the IKEA Business Network, the Company has its own profile page where it can access its full membership details, past purchases, latest offers and much more.

Special offers and discounts on products and services

Members of the IKEA Business Network get access to numerous discounts, special offers and services. Examples include discounts on interior design consultations to help the Company to create the ideal environment for its business. Network members are also entitled to discounts on selected products and services. However, please note that not all products on offer to Network members have been approved for commercial use and that IKEA accepts no responsibility for ensuring that the products on offer are appropriate or suitable for their intended use in the Company’s business.

Offers, discounts and services will vary over time and may also differ from store to store. The latest information on offers, discounts and services can always be found on the Company’s IKEA Business Network account page.

Learn with IKEA

We want to support the growth of our Network members! This is why we have created “Learn with IKEA”, which gives Network members access to educational content through training modules and newsletters on topics such as people development, business development and workplace design. Please note that all “Learn with IKEA” content has been created exclusively for Network members and that the Company is prohibited from downloading, copying, recording, sharing or distributing the information, or otherwise making any “Learn with IKEA” content available to anyone who is not an employee of the Company.

11.    Termination and suspension of IKEA Business Network membership

The Company can terminate its IKEA Business Network membership at any time by switching to an IKEA for Business profile through the settings on its IKEA Business Network account page. After termination, the Company will no longer have access to IKEA Business Network benefits and offers. This applies to all registered users who are associated with the Company’s Profile, and the changes are effective immediately. Terminating IKEA Business Network membership does not automatically close the Profile.
